[P]lease add the following resolution to the agenda:

“Whereas, each director of MHSAA has a fiduciary duty reasonably to contribute in a positive manner to MHSAA and its wellbeing; and
Whereas, each director has a finite amount of time to volunteer to MHSAA; and
Whereas, MHSAA desires to receive the most from, and to make the highest and best use of, the generous contributions of its donors, whether monetary or non-monetary, including those of its officers and directors; and
Whereas, any endeavor to subject those who do materially contribute to MHSAA should not be unduly burdened by inquiry based upon half-truths or falsehoods,
Now, it is hereby resolved:
Should any director pursue an issue beyond reasonable inquiry having already received reasonable explanation, such director shall forthwith be immediately removed from the Board [and such director shall compensate all other directors for their time and effort wastefully consumed by such excessive inquisition] upon a showing that (i) such director had no personal, firsthand knowledge that merited further inquiry, (ii) such director was in receipt of information that reasonably addressed such inquiry, (iii) such director nonetheless pursued the issue and such issue was subsequently addressed by the Executive Committee and/or the Board per such director’s request, and (iv) no new, material information was forthcoming that proved necessary to answer such director’s inquiry (in each case, as reasonably determined by the Executive Committee of the Board and approved by MHSAA’s Vice President and Legal Counsel).”

Moreover, we should address this proposed resolution before we get to Bob Chalmers’ inquisition.

Also, before we get to Bob Chalmers’ inquisition, we should adopt a policy regarding requiring the return of any unearned compensation paid to any of MHSAA’s employees, vendors or service providers.
